Expand Any structure like that has a survivorship outline that details how those kinds of changes happen. While they might not replace regular board seats, they have no choice but to replace the head. I mean in theory they could have left it open, but I really don't see a scenario where they didn't account for the death (or whatever disqualifying events may be in the deal)of the chairman.
